I certainly believe he will.

If you still think you don't need to stay, then tell him you considered the offer, but you just don't think it's the best move for your future. If you have to give him a decision before you hear from the other company, then just accept it and still take the other job if you need to. There really isn't any other play, other than stalling for time somehow with your own company.
